These Terms of Service govern your use of chayah.club and the Chayah Club services operated by Nikimac Solutions Inc. (“Chayah Club”, “Nikimac”, “we”, “us” or “our”). They apply to Chayah Club accounts, memberships, community spaces, courses, digital tools and purchases unless a specific product or service states otherwise.
By creating an account, purchasing a product or membership, or continuing to use Chayah Club, you agree to these Terms. Nothing in these Terms removes consumer or other legal rights that cannot lawfully be waived where you live.
You must be at least 18 years old to create a Chayah Club account or purchase a Chayah product or membership. You are responsible for providing accurate account information, keeping your login information secure, not sharing your account with another person, and activity that takes place through your account. If you believe someone has accessed your account without permission, contact us promptly.
Chayah Club currently provides three ways to access content.
Free membership has no recurring subscription fee. It may include live sessions, community Clubs, selected teaching and other free experiences. We may add, remove or reorganise individual Free features over time as Chayah Club develops. Free membership is not a paid trial and does not automatically convert into a paid membership.
VIP Circle is Chayah Club’s recurring paid membership. Before you subscribe we will show you the applicable price, currency, billing frequency, material membership features, and applicable taxes or other charges. VIP renews automatically until you cancel it. Prices on Chayah Club are shown in US dollars (USD).
Some courses, programs, events or digital products may be sold separately as one-time purchases. A one-time purchase does not become a recurring subscription unless the purchase page clearly tells you that it will renew and you agree to that arrangement.
Prices may change. A new price may apply immediately to new purchases. For an existing recurring VIP subscriber, we will provide at least 30 days’ notice before a price increase applies to a future renewal. If you do not want to continue at the new price, you may cancel before the renewal affected by the change. We will display mandatory charges as clearly as reasonably possible before you complete a purchase.
When you purchase a recurring VIP membership, you authorise our payment provider to charge the payment method you provide on each renewal date until you cancel. Your renewal date is based on the billing cycle shown when you subscribe. You are responsible for keeping your billing information current.
If a VIP renewal payment fails, your paid membership may move into a temporary grace period while you update your payment details. Our current VIP grace period is 14 days. During that grace period you may continue to receive VIP access. If payment is not successfully completed by the end of the grace period, your access may return to the Free membership level. A failed payment does not, by itself, mean that your entire Chayah Club account, history or stored journal content is immediately deleted.
You may cancel a recurring VIP membership at any time through Account & Billing or by contacting us. Cancellation stops future renewals.
Unless applicable law, a specific written offer or an express guarantee says otherwise: cancellation takes effect at the end of the billing period already paid for; you keep paid access through that period; and we do not provide refunds or credits for unused portions of a billing period.
If you believe you were charged in error, contact us promptly so we can review the transaction. Nothing in this section limits any cancellation, refund, cooling-off or other right that applicable law gives you and does not allow you to waive.
Nikimac Solutions Inc. and UpowerUp Canada Incorporated are separate organisations. Some free ministry programming or sponsored access associated with Chayah Club may be supported through CLIMB — Christian Leadership Institute for Ministry & Business, an initiative of UpowerUp Canada Incorporated.
A contribution to UpowerUp Canada is not a payment to Nikimac Solutions Inc.; is not a Chayah Club membership payment; does not automatically purchase Chayah products or VIP access; and is governed by any contribution terms or policies presented by UpowerUp Canada in connection with that contribution.
UpowerUp Canada is not a registered charity. Contributions to UpowerUp Canada do not receive charitable tax receipts.
Chayah Club includes shared community spaces with people from different countries and backgrounds. You may disagree. You may not abuse the space. Do not:
We may remove content or restrict, suspend or close an account when reasonably necessary to protect the community, enforce these Terms, respond to legal requirements or address non-payment. Where appropriate, we will explain the reason.
Unless otherwise stated, teaching, courses, video, audio, written materials, graphics, tools and other Chayah Club content are owned by Nikimac Solutions Inc. or used by Nikimac with permission. Your membership or purchase gives you a personal, limited, non-exclusive, non-transferable right to access the applicable content for your own use. It does not transfer ownership to you.
Unless we give written permission, you may not share your paid login; reproduce substantial portions of paid content; record or redistribute teaching or courses; sell or sublicense Chayah content; remove copyright or ownership notices; or use Chayah materials to create a competing commercial product. Reasonable short quotations with appropriate attribution are welcome where permitted by law.
References on Chayah Club to UpowerUp Canada, CLIMB or their programs do not mean that Nikimac claims ownership of those organisations’ names, marks or materials. Their ownership and licensing arrangements remain separate.
You keep ownership of original content you post or submit. When you intentionally post content into a Chayah Club community space, you give us the limited permission needed to host, store, display and technically process that content so the community can function.
That permission does not give us blanket permission to turn your identifiable story into public advertising. If we want to use your name, image, story, testimonial or identifiable community content publicly for promotional purposes, we will seek separate permission. You are responsible for making sure you have the right to post the content you submit.
SOAP Journal entries are designed as personal reflection content rather than public community posts. They are not displayed to other Chayah members simply because you wrote them.
How journal entries, Chayah Coach interactions and other personal information are collected, processed, disclosed, retained and deleted is governed by our Privacy Policy. Please do not share information in Chayah Club that you are not comfortable submitting through an online service.
Chayah Coach is designed to support faith formation, reflection, learning, personal development and practical goal-setting. Some Chayah Coach functionality may use automated or AI-assisted systems to generate or help generate responses. Automated responses can be incomplete or wrong. They should be treated as a tool for reflection and learning, not as an infallible authority.
Information you submit to an automated feature may be processed as necessary to generate the requested response. Our Privacy Policy describes personal-information handling and service providers.
Chayah Coach and other Chayah Club content do not diagnose, prevent or treat medical or mental-health conditions and do not replace professional medical, mental-health, legal, accounting or financial advice. If you are in immediate danger or need urgent medical or mental-health assistance, use the emergency services available where you are.
Chayah Club is a Christian community. Its teaching, prayer, pastoral discussion and faith-based content reflect that identity. Participation in Chayah Club does not create a physician-patient, therapist-client, lawyer-client, financial-adviser or other regulated professional relationship. You remain responsible for decisions you make based on information encountered through the community.
Some Chayah Club functions depend on third-party providers, which may include services for payment processing, video, email, forms, hosting, analytics, communications and automated features. Those providers may have their own terms and privacy practices. We are responsible for choosing and managing our providers appropriately, but we cannot guarantee that every third-party service will always remain available or operate without interruption.
We work to keep Chayah Club available and functioning. We cannot guarantee uninterrupted or error-free access. From time to time we may maintain or update the platform, change features, repair technical issues, reschedule live sessions, remove unsafe or obsolete functionality, or temporarily restrict access for security or operational reasons. Where a material interruption is within our control, we will try to communicate appropriately with affected members.
You may close your Chayah Club account by using the available account tools or contacting us. We may restrict, suspend or close an account for reasons including serious or repeated breaches of these Terms, misuse of the community, security threats, fraud, unlawful activity, or non-payment of a paid service.
Closing an account does not always mean every piece of information is immediately erased. Some information may need to be retained for legitimate business, security, accounting, dispute-resolution or legal reasons. Our Privacy Policy explains the applicable approach to personal-information retention and deletion.
Chayah Club is provided on an “as available” basis. To the maximum extent permitted by applicable law, we do not guarantee that every service, course, community interaction, live session or automated response will be uninterrupted, error-free or suitable for every individual purpose.
To the maximum extent permitted by law, Nikimac Solutions Inc. will not be responsible for indirect, incidental, special or consequential losses arising solely from use of or inability to use Chayah Club. Where applicable law permits a financial limitation of liability, our total liability arising from a particular paid Chayah Club service will not exceed the amount you paid to Nikimac Solutions Inc. for that service during the 12 months immediately before the event giving rise to the claim.
This limitation does not apply where liability cannot lawfully be excluded or limited. Nothing in these Terms excludes or limits responsibility for fraud, wilful misconduct or any other matter for which applicable law does not permit exclusion or limitation.
We may update these Terms as Chayah Club, our technology or applicable requirements change. For a material change that meaningfully affects an existing paid member’s rights or obligations, we will normally provide at least 30 days’ notice by email, account notice or another reasonable method before the change takes effect. Changes required urgently for legal, security or safety reasons may take effect sooner where necessary. The current version of these Terms will always show its most recent update date.
These Terms are governed by the laws of Ontario, Canada, and the federal laws of Canada applicable there. That choice of law does not remove any mandatory consumer or other legal protections that apply to you in the jurisdiction where you live and that cannot lawfully be waived by contract.
If a court or other competent authority finds one part of these Terms invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law. Our failure to enforce a provision immediately does not mean we permanently waive it.
These Terms, together with any specific purchase terms presented to you and our Privacy Policy, form the agreement governing your use of Chayah Club unless we expressly agree otherwise in writing. Specific terms presented for a particular product or service control over these general Terms if the two directly conflict.

Privacy at Chayah Club
Your faith journey may include community, learning, prayer, reflection and professional development. We treat the personal information behind those experiences with purpose, restraint and care.
Chayah Club is an adult faith community and learning platform operated by Nikimac Solutions Inc. (“Nikimac,” “Chayah,” “we,” “us” or “our”). Nikimac is responsible for personal information processed through Chayah Club and Chayah-branded services that expressly refer to this Policy.
This Policy applies to visitors, registered members, VIP Circle participants, learners in organization-assigned programs, approved sponsored participants, purchasers and people who contact or register for Chayah services. Chayah Club is for adults age 18 and older.
Other organizations in the ecosystem remain legally distinct. In particular, UpowerUp Canada Incorporated maintains its own purposes and records. Shared technology or a referral does not automatically merge Nikimac and UpowerUp data.
We collect the information needed to create and protect an account, such as name, email address, password credential, preferred name when provided, 18+ affirmation, accepted policy versions, sign-in events and security records.
Members may provide a profile photo, biography, interests and other optional profile fields. We process Club participation, posts, comments, reactions, messages, connections and visibility choices according to the audience selected for each feature.
We process purchases, subscriptions, assignments, sponsor-funded scopes, program eligibility, course progress, completion, attendance, assessment status and support history so that we can deliver only the learning and services for which a person is eligible.
Information submitted through forms may include contact details, program responses, journal entries, prayer requests or support enquiries. Chayah currently uses tools such as Ninja Forms to deliver forms. Zoom registration may collect a participant’s name, email address, registration responses, meeting attendance and a participant-specific join link. A public page must not publish a reusable meeting credential.
When you purchase a product or subscription, we and our commerce and payment providers process transaction, product, billing, tax, payment-status and renewal information. Payment providers process payment credentials under their own terms and privacy notices.
We may process IP address, browser and device information, timestamps, referring pages, security signals and consent choices. Analytics is limited as described below and must not contain raw sensitive reflections or private text.
Depending on the service and applicable law, we process information with consent, to perform a contract or provide a requested service, to meet legal obligations, to protect members and the platform, or for legitimate interests that do not override individual rights.
Optional marketing uses require an available choice or consent where required. A prayer request, praise report, SOAP entry or coaching record is not permission to create a testimonial, sermon illustration, fundraising story or marketing asset.
Public landing pages may be viewed without an account. They do not enumerate private profiles, Club activity, messages, private learning objects or member records.
Community information is visible only to the eligible signed-in audience set for the object. A member controls whether optional content is posted to a Club or broader signed-in community when the feature offers that choice. Content shared with other members may be copied or discussed by those recipients, so members should use the most limited appropriate audience.
Private messages, private journal entries, assessments and entitlement records are not public profile content.
SOAP journals, assessments, prayer requests, praise reports, testimony drafts, private reflection notes, Coach interactions and coaching content are treated as sensitive spiritual-reflection or pastoral information.
When available, Chayah Coach is identified as an AI reflection assistant. It is not Nicola, a pastor, therapist, prophet, doctrinal authority, entitlement engine or autonomous decision-maker.
An employer, church, organization or sponsor may provide minimum identity and eligibility information or fund access to a defined program. Funding does not give that organization ownership of a participant’s account, community activity, private messages, SOAP entries, prayer or praise records, private assessments or coaching-session content.
Organization reporting is limited to the fields authorized by the agreement and notice, such as enrollment, assigned path, attendance, progress, completion and appropriately de-identified aggregate outcomes. Small cohorts are not described as anonymous when individuals remain reasonably inferable.
Personal Chayah activity remains outside employer or sponsor reporting. Coaching-session content remains between the coachee and human coach unless a broader disclosure is agreed with the coachee in writing before the session.
We use service providers to operate hosting, security, community identity, learning, forms, email, customer support, live meetings, commerce, payments, analytics and AI features. Examples may include WordPress and SiteGround infrastructure, BuddyBoss, LearnDash, Ninja Forms, Zoom, WooCommerce, payment processors and approved communication or AI providers.
Providers receive only the information reasonably needed for their task and process it under their own contracts and privacy terms. We may also disclose information:
Nikimac and UpowerUp share only the minimum information authorized by the specific referral, grant, consent, notice or agreement.
Necessary cookies support authentication, security, consent choices, purchases and requested site functions. Preference, statistics and marketing technologies are used according to the choices available in the site’s consent manager and applicable law.
Raw faith or need answers, prayer and praise text, SOAP entries, assessments, private messages, age values, entitlement codes and other private content must not be sent to general analytics or advertising platforms. You can change non-essential cookie choices through Manage consent on the site.
We retain information only for its stated purpose, an approved operational period and any documented legal, security or safeguarding obligation. The approved default periods are:

Deletion from active systems may not immediately remove information from limited-access backups. Information may also remain where another member has independently retained a copy of content shared with them or where law requires preservation.
Subject to applicable law and legitimate exceptions, you may ask us to:
Withdrawing consent does not affect processing already completed lawfully and may limit an optional feature. We may need to verify identity before responding. Some information cannot be deleted immediately because of another person’s rights, security, contractual records, legal obligations or documented safeguarding needs.
We use administrative, technical and organizational safeguards appropriate to the sensitivity of the information, including access controls, authentication, encrypted connections, backups, role restrictions, monitoring and incident response. No Internet service can guarantee absolute security.
Service providers may process information in Canada, the United States or other countries. Information processed outside your location may be subject to the laws and lawful access requirements of that jurisdiction. We limit transfers to the purpose and provider relationship needed to deliver the service.
If a privacy or security incident occurs, we follow a documented process for containment, assessment, notification where required, remediation and evidence preservation.
We review this Policy when services, sensitive-data practices, AI uses, providers or applicable requirements materially change. We will update the effective date and provide additional notice when a change materially affects how personal information is collected, used or disclosed.
